Last updated: June 18, 2025 Welcome to the DeTask application ("we," "our," or "DeTask"). These Terms of Use outline the rules and guidelines for using our application. 1. Acceptance of Terms By accessing and using the DeTask application, you agree to comply with these Terms of Use. If you do not agree with any part of these terms, please refrain from using the application. 2. User Responsibilities 2.1 Account Creation: To access certain features and services, you may need to create an account. You are responsible for providing accurate and up-to-date information during the registration process. Safeguard your account credentials and notify us immediately of any unauthorized access or suspected breach. 2.2 Prohibited Conduct: You agree not to engage in any conduct that violates applicable laws, infringes upon intellectual property rights, disrupts the application's functionality, interferes with other users' enjoyment of the application, or attempts to gain unauthorized access to our systems or other users' data. 3. Intellectual Property Rights 3.1 The DeTask application and its content, including but not limited to text, graphics, logos, software, and underlying code, are protected by intellectual property laws and are the exclusive property of DeTask or its licensors. You may not modify, reproduce, distribute, or exploit any part of the application without our explicit written permission. 3.2 User Content & Decentralized Data: You retain all rights to the content you create and submit through the DeTask application (e.g., tasks, notes, uploaded files, goals, and earned badges). This data belongs to you, the user, not DeTask. For certain features, such as the issuance of goals and badges, DeTask leverages decentralized blockchain technology. Once goals and badges are issued on the blockchain, they become immutable records and cannot be altered or removed from the blockchain ledger. By creating content and using the DeTask application, you grant DeTask a limited, non-exclusive, royalty-free, worldwide license to use, reproduce, modify, adapt, publish, and display this content solely for the purpose of operating and providing the DeTask services to you and other authorized users within your organization. This includes facilitating the recording of your goals and badges on the blockchain where applicable. Given the decentralized and immutable nature of blockchain, this license, with respect to goals and badges permanently recorded on the blockchain, is perpetual and irrevocable from the point of issuance. For other non-blockchain content (e.g., notes, general tasks not issued as immutable goals/badges), this license terminates when you remove your content or your account is closed, except to the extent that your content has been shared with others and they have not deleted it, or where retention is required for legal or operational purposes. 4. Privacy We respect your privacy and handle your personal information in accordance with our Privacy Policy. By using the DeTask application, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy. 5. Disclaimer of Warranties The DeTask application is provided on an "as is" and "as available" basis. We do not make any warranties, whether expressed or implied, regarding the accuracy, reliability, or suitability of the application for any particular purpose. To the fullest extent permissible by law, DeTask disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. 6. Limitation of Liability To the maximum extent permitted by law, we shall not be liable for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or related to the use of or inability to use the DeTask application, even if DeTask has been advised of the possibility of such damages. 7. Changes to the Terms We reserve the right to modify or update these Terms of Use at any time without prior notice. It is your responsibility to review the terms periodically. Continued use of the application after any modifications constitutes acceptance of the updated terms. 8. Governing Law and Dispute Resolution These Terms of Use shall be governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. The arbitration shall take place in Orlando, Florida, United States. While these Terms are governed by the laws of the United States of America, DeTask strives to adhere to leading global data protection principles, including those outlined in the General Data Protection Regulation (GDPR) for our international users, where applicable to our data processing activities. 9. Indemnification You agree to indemnify and hold harmless DeTask, its officers, directors, employees, and affiliates from and against any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the DeTask application, any content you submit, or any violation of these Terms of Use.
